Terms of Use and Software License Agreement
Effective September 4, 2026
Please read these Terms before using ReddUp or making a purchase. They explain your license, subscription and payment terms, important limitations, and how disputes are handled. If you do not agree, do not use the software or complete a purchase.
1. Who we are and what these Terms cover
These Terms of Use and Software License Agreement (“Terms”) are an agreement between you and ReddUp, LLC, a Colorado limited liability company (“ReddUp,” “we,” “us,” or “our”). They govern the ReddUp website, desktop application, free and trial features, paid editions, updates, support, and related services (collectively, the “Services”).
You accept these Terms when you access or use the Services, download or install ReddUp, start a trial, acquire a license, or otherwise indicate acceptance during checkout. If you use ReddUp for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Eligibility
You must have legal capacity to enter a binding contract. If you are under the age of legal majority where you live, you may use ReddUp only with the permission and supervision of a parent or legal guardian who agrees to these Terms. You may not use the Services if applicable law prohibits you from doing so.
3. Paddle is the Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. In that Paddle-required statement, customer service means order, payment, subscription, cancellation, and return matters. Paddle also handles payment processing, applicable sales taxes, receipts, and transaction support. Your purchase is subject to the Paddle Buyer Terms and the Paddle Refund Policy.
ReddUp remains responsible for the software itself, license delivery, activation assistance, and product support. Email [email protected] or call (970) 578-9729 for product or license help. 4. What ReddUp does—and does not do
ReddUp is local-first desktop software that helps you organize, analyze, and report information from files and data you provide. It is a tool for informational and organizational purposes. ReddUp is not a bank, credit bureau, accountant, tax preparer, investment adviser, financial adviser, law firm, or fiduciary, and the Services do not provide financial, accounting, tax, investment, or legal advice.
Automated imports, categorization, calculations, projections, document extraction, and other outputs may be incomplete or inaccurate. You are responsible for reviewing source documents and verifying results before relying on them, sharing a report, making a financial decision, or preparing a filing. Nothing in the Services guarantees a financial outcome.
5. Free edition and trial
New installations may receive a 14-day trial of the Elite feature set without a payment card. Unless you purchase a paid edition, ReddUp transitions to the then-current Free edition when the trial ends. We may change the features and limits of the Free edition or future trials, but a change will not convert free use into a paid subscription without your affirmative purchase.
6. Your software license
Subject to these Terms and payment of any applicable fees, ReddUp grants the purchaser a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the purchased ReddUp edition:
- If the purchaser is an individual, that individual may use ReddUp personally or in work the individual personally performs, on devices the individual owns or controls. The license does not give a client, employer, separate legal entity, or other person a right to use the software or key.
- If the purchaser is one legal business entity, its authorized employees and contractors may use ReddUp internally, on that entity’s behalf, on devices the entity owns or controls. The purchasing entity is responsible for their compliance with these Terms.
- A license key may not be shared outside the purchasing individual or entity, published, transferred to another person or entity, rented, sold, or used to provide a shared hosted service.
This is a license to use the software, not a sale of ownership in ReddUp or its source code. Separate open-source components, if any, remain governed by their applicable licenses.
7. Subscriptions and one-time licenses
Subscriptions
Monthly and yearly plans are subscriptions. They automatically renew at the billing interval and price displayed at checkout until canceled. Paddle will charge the payment method associated with the subscription. You may cancel at any time through the link in your Paddle receipt or the Paddle buyer portal at paddle.net. Unless applicable law or the checkout terms state otherwise, cancellation takes effect at the end of the current paid billing period; paid features remain available through that date, and cancellation by itself does not refund an earlier charge.
One-time licenses
A one-time license is not a subscription and has no automatic renewal. It permits continued use of the edition purchased. It includes updates released during the first year after purchase. After that one-year update period, the installed licensed software may continue to work, but later updates, major versions, platform changes, or newly introduced services may require a separate purchase. A one-time license does not promise that every future feature or third-party integration will remain available forever.
8. Prices, taxes, and payment
The localized price, billing interval, applicable taxes, and final total are shown in Paddle Checkout before you complete an order. You authorize Paddle to charge the displayed total and, for a subscription, future renewal amounts disclosed at checkout until you cancel. Exchange rates, taxes, or a pricing change may affect a future renewal where permitted by law; required notice will be provided before the change takes effect.
9. Refunds
ReddUp offers a voluntary 30-day guarantee for qualifying initial purchases, subject to the ReddUp Refund Policy. Paddle processes approved refunds to the original payment method where possible. ReddUp does not issue payments or refunds outside Paddle. Nothing in these Terms or the Refund Policy limits rights that cannot lawfully be limited.
10. License delivery and activation
ReddUp ordinarily emails an offline license key to the billing email provided during checkout. You are responsible for providing an accurate email address, keeping the key confidential, and retaining a safe backup. Activation occurs locally by entering the key in the app; ordinary licensed use does not require a ReddUp account or a continuous online license check.
A subscription renewal may require you to replace the prior key with a newly delivered key. If you do not receive a key, check spam or junk mail and contact [email protected] with the Paddle transaction or receipt identifier. Do not email payment-card details.
11. Acceptable use and restrictions
You may not:
- copy, distribute, resell, rent, sublicense, publish, or transfer ReddUp or a license key except as these Terms expressly allow;
- circumvent license controls, security protections, rate limits, or access restrictions;
- reverse engineer, decompile, or attempt to derive source code except to the limited extent applicable law expressly permits despite this restriction;
- use the Services to violate law, infringe another person’s rights, introduce malicious code, or interfere with the Services or other users; or
- misrepresent ReddUp output as independently verified professional advice.
12. Your files, data, and responsibilities
You retain your rights in the files and information you provide. ReddUp’s ordinary financial processing is designed to occur on your device. You are responsible for having the right to process any personal or business information you import, for keeping your device and credentials secure, and for maintaining backups. Removing the app, losing a device, or experiencing device failure may cause loss of locally stored data if you do not maintain a backup.
Website visits, purchases, license delivery, update checks, surveys, and optional support or feedback are network activities separate from local financial processing. The ReddUp Privacy Notice explains the information involved.
13. Third-party services
Some features may interact with third parties, such as Paddle for purchases, Resend for email delivery, Cloudflare for website and service infrastructure, SimpleFIN for optional bank sync, or an Ollama server you configure for optional AI Assist. Third-party services are governed by their own terms and privacy practices. We are not responsible for a third party’s independent service, outage, decision, or content, but this does not limit any responsibility ReddUp cannot lawfully exclude.
14. Support, feedback, and communications
Product and license support is available by email at [email protected] and by phone at (970) 578-9729. You may leave a voicemail if we do not answer. The optional in-app feedback channel is for product feedback and bug reports; it is not a monitored support mailbox and does not promise a reply. The current form requires a separate affirmative agreement allowing ReddUp to use third-party AI services to review the submitted message, selected attachments, and technical diagnostics to investigate issues, address feedback, and improve ReddUp. You may send ideas or suggestions voluntarily. You grant ReddUp permission to use non-confidential ideas and suggestions to support and improve the Services without owing compensation. That permission does not transfer ownership of, or grant broader use rights in, your financial files, personal information, diagnostics, attachments, or support-case content; we handle those only for the purposes described in the Privacy Notice. Please do not send information you do not have authority to share.
We may send transactional messages necessary to fulfill a purchase, maintain a subscription, provide security or service notices, or respond to you. Optional marketing email is sent only where we have the required permission, and you may unsubscribe using the link in the message.
15. Updates and service changes
We may provide bug fixes, compatibility changes, security updates, and feature changes. We may modify or discontinue the Free edition, trial offers, website, or optional network services. Where required, we will provide reasonable notice of a material adverse change. We will not use this section to convert a one-time license into a recurring subscription or remove the core continued-use right described in Section 7, except where necessary to comply with law, address security or abuse, or enforce these Terms.
16. Intellectual property
ReddUp and its licensors own the Services, software, design, text, trademarks, and other materials, excluding your files and any separately licensed open-source components. All rights not expressly granted in these Terms are reserved. “ReddUp” and associated branding may not be used in a way that suggests endorsement or affiliation without written permission.
17. Suspension and termination
You may stop using ReddUp at any time. We may suspend network services or terminate a license for a material breach of these Terms, fraud, an approved full refund or chargeback, or unlawful use, subject to applicable law. When a paid license or subscription ends, you must stop using features you no longer have a right to use. If a one-time purchase is fully refunded, you must stop using that paid edition and delete or cease using its key even if an offline activation cannot be disabled immediately.
Termination does not transfer your locally stored data to ReddUp. Sections that by their nature should survive—including ownership, payment obligations already incurred, disclaimers, liability limitations, and dispute terms—remain in effect.
18. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” ReddUp disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, completely secure, compatible with every file or device, or that every output will be complete or accurate.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted, and nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
19. Limitation of liability
To the maximum extent permitted by law, ReddUp and its members, employees, contractors, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, business opportunities, goodwill, or data, arising from or related to the Services.
To the maximum extent permitted by law, ReddUp’s total liability for all claims arising from or related to the Services will not exceed the greater of (a) the amount you paid for the affected ReddUp product during the 12 months before the event giving rise to the claim or (b) US $100.
These limits do not apply to liability that cannot lawfully be limited, including liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence where applicable, or infringement for which the law does not permit a limitation. The limitations apply even if a remedy does not fully compensate you or fails of its essential purpose.
20. Governing law and disputes
These Terms are governed by Colorado law, without regard to conflict-of-law rules. Subject to any non-waivable consumer right to bring a claim elsewhere, the state courts located in Weld County, Colorado, and the federal courts with jurisdiction over Weld County have exclusive jurisdiction. You and ReddUp consent to personal jurisdiction in those courts.
These Terms do not require arbitration and do not waive any right to participate in a class or representative action that applicable law provides. Before filing a claim, we encourage you to email [email protected] so we can try to resolve the issue informally.
21. General terms
You must comply with applicable export-control, sanctions, and trade laws. You may not assign these Terms or transfer a license except with our written consent; we may assign these Terms as part of a merger, financing, reorganization, or transfer of the Services, subject to applicable law. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A failure to enforce a provision is not a waiver.
These Terms, the Refund Policy, the Privacy Notice, and the purchase terms shown at checkout govern your relationship with ReddUp. If purchase-specific terms conflict with these Terms, the purchase-specific terms control for that transaction to the extent of the conflict. The Paddle Buyer Terms operate alongside these Terms and separately govern Paddle’s role in the transaction.
We may update these Terms prospectively. We will change the effective date and provide any additional notice required by law. Material changes do not retroactively alter a completed one-time purchase without your agreement, except where a change is required by law.
